Terms of Use

1. Identification of RI

The owner of the mobile application “Realty Investor” and of the website www.realtyinvestor.eu (together, the “App”) is REALTY INVESTOR HUB, SOCIEDAD LIMITADA (Realty Investor or RI), CIF B-21948260, domiciled at Carrer Jardí, 11, 08800 Vilanova i la Geltrú (Barcelona), Spain, registered in the Commercial Registry of Barcelona (Registro Mercantil de Barcelona) [registration details pending verification before publication].

2. Purpose, acceptance and constituent documents

These General Terms of Use (the “Terms”) govern access to, registration for and use of the beta version of the App (the “Beta”) and of the services that RI provides through it.

Registration requires the express acceptance of the Terms by means of a box provided for that purpose, and the Privacy Policy being made available. The User declares that they are over 18 years of age. RI will keep proof of acceptance, with the date, time and version accepted.

The Privacy Policy, the Cookie and Similar Technologies Policy and the Commercial Communications Policy form part of the Terms, insofar as they are applicable. In the event of conflict, the more specific rule for the functionality concerned shall prevail.

The Terms are drawn up in Spanish. Any translations are provided for information purposes only and, in the event of any discrepancy, the Spanish version shall prevail.

3. Definitions

For the purposes of the Terms: “User” means the person registered in the Beta; “Beta Account”, their account in the App; “Platform”, the crowdfunding service provider whose projects are shown in the App; “Project”, the opportunity published by a Platform; and “Simulation”, the fictitious transaction carried out in the Beta.

4. Nature of the Beta, simulation and regulatory warning

The Beta is a technical, informational and experimental environment for testing the App before a possible final service. It allows the User to consult standardised information on real Projects, carry out Simulations with fictitious money, view a simulated portfolio, receive alerts and access educational content, including summaries generated by artificial intelligence.

RI is not a crowdfunding service provider, an investment firm, a credit institution, a payment institution or an electronic money institution, nor is it authorised or supervised as such by the CNMV or the Banco de España. RI does not advise, does not make personalised recommendations, does not manage portfolios, does not receive or transmit orders, does not raise or hold funds in custody, and does not assess or admit investors.

No content in the App — including listings, project pages, alerts, metrics or materials generated by artificial intelligence — constitutes advice, an investment recommendation or an offer by RI. The Beta does not allow the User to invest, connect Platform accounts or carry out transactions with economic effects.

All transactions in the Beta are carried out with fictitious money, have no economic or legal effects and do not give rise to any rights, claims, holdings or expectations against RI, the Platforms or the developers. The balances, amounts, returns and metrics of the simulated portfolio are not real, cannot be withdrawn and do not predict future results.

RI may modify, reset or delete Simulations during the Beta for technical, security or product-development reasons.

5. Information on Projects and artificial intelligence

The Projects shown are real and have been published by the Platforms on their own channels. The Platforms are responsible for the accuracy, completeness and updating of their data. RI collects that data and presents it in a standardised form, without independent verification, identifying the Platform and including a link to the original offer.

The information in the App may not be up to date or may differ from the official source. In the event of any discrepancy, the Platform’s information shall always prevail and, in particular, the key investment information sheet. Before making any decision, the User must consult the original offer.

The returns indicated are targets estimated by the Platforms and do not constitute a promise or guarantee of results; past returns do not guarantee future returns. RI does not intervene in the relationship between the User and any Platform with which the User decides to operate on their own account.

The App may include summaries and other content generated by artificial intelligence, identified as such. They are for information purposes only, may contain errors or omissions and do not constitute financial analysis, a recommendation or advice. The User must not use them as the sole basis for making investment decisions; the official documentation of the Project always prevails.

6. Risk warning

Although the Beta does not allow the User to invest, the information refers to real investment products. Crowdfunding may involve the total or partial loss of capital, failure to obtain the expected return and illiquidity, and it is not covered by the Deposit Guarantee Fund (Fondo de Garantía de Depósitos) or by the Investment Guarantee Fund (Fondo de Garantía de Inversiones).

The User must not make investment decisions on the basis of the Beta. The User must consult the official documentation of each Project and, if in doubt, obtain independent professional advice.

7. Registration, Beta Account and credentials

Only natural persons over 18 years of age, with full legal capacity, acting in their own name and resident in Spain may register. Legal persons are not admitted. The User shall provide truthful and up-to-date information, shall maintain a single Beta Account and shall comply with the regulations applicable by reason of their residence. RI may refuse or cancel registrations that breach the Terms or the law, in accordance with objective criteria and giving reasons.

Credentials are personal and non-transferable. The User must keep them safe with due diligence and immediately notify contacto@realtyinvestor.eu of any loss, theft or unauthorised use. RI will never ask for passwords; any communication to that effect must be regarded as fraudulent.

The User acknowledges that the Beta is under development and may be subject to changes, interruptions and corrections. The User must not enter unnecessary personal data or data of third parties.

8. Free of charge and business model

Use of the Beta is free of charge. There are no paid services, in-app purchases or charges of any kind.

For transparency purposes, RI states that, in a possible final service, it could receive commissions from the Platforms for investments formalised by users referred from the App. During the Beta, RI does not receive any remuneration for the activity of Users. The order of the Projects is based on objective criteria — date, campaign status and the User’s filters — and not on any consideration from the Platforms.

9. Intellectual property, licence and prohibited uses

RI grants the User a limited, non-exclusive, non-transferable and revocable licence to use the App for personal purposes during the Beta. The trademark, software, design, interface and other assets of the App belong to RI or its licensors. The content, trademarks and documentation of the Projects belong to the Platforms or their licensors and are displayed in order to identify the source.

The following are prohibited: commercially exploiting content of the App; reverse engineering, decompiling or modifying the App; extracting data in bulk or by automated means; circumventing security measures; reselling or redistributing information obtained in the App; using the App for unlawful or fraudulent purposes; impersonating third parties; creating multiple or automated accounts; introducing malware or interfering with the App’s operation; and any use contrary to applicable regulations.

10. Availability, changes, cancellation and closure of the Beta

The Beta is provided as it is available at any given time. RI will use reasonable efforts to keep it operational, without guaranteeing the absence of interruptions, errors or loss of Simulation data. RI may modify, add, restrict or remove functionalities and temporarily suspend the service for technical, security or product-development reasons.

The Terms shall remain in force for as long as the User maintains their Beta Account and, in any event, until the closure of the Beta. RI may end the Beta by giving notice through a durable medium at least 15 calendar days in advance. The closure will cancel the Beta Accounts and will entail the deletion of data in accordance with the Privacy Policy. The Beta Account will not become an account for the final service, which will require separate registration and terms.

The User may cancel their registration at any time from the App or by writing to contacto@realtyinvestor.eu. Cancellation deletes the Beta Account and the associated simulated portfolio. RI may suspend or cancel the Beta Account in the event of serious or repeated breach, fraudulent use or legal requirement, giving reasons and, where appropriate, after a prior request to remedy.

11. Liability

RI is liable for the diligent operation of the App and for damage directly attributable to it, in accordance with applicable regulations.

Without prejudice to the mandatory rights of consumers and users, RI is not liable for: (i) the accuracy, completeness or updating of the information published by the Platforms; (ii) decisions made by the User on the basis of the Beta; (iii) the performance or return of the Projects; (iv) loss of Simulation data inherent in the experimental nature of the service; or (v) the unavailability of third-party services necessary for the App.

Nothing in the Terms excludes or limits RI’s liability in the event of wilful misconduct or gross negligence, for personal injury, or in any other case in which the law does not permit its exclusion or limitation.

12. Data protection and communications

The processing of the User’s personal data is governed by the Privacy Policy and by the Cookie and Similar Technologies Policy, accessible from the App and from www.realtyinvestor.eu.

Communications between RI and the User will be made by electronic means — email, push notifications and notices in the App — which are recognised as valid. The User shall keep their contact details up to date. Commercial communications require prior consent by means of a separate box, and the User may unsubscribe from them easily and free of charge in accordance with the Commercial Communications Policy.

13. User support, complaints and amendment of the Terms

The User has the support channel contacto@realtyinvestor.eu available, through which RI will deal with enquiries and complaints as soon as possible and, where the User is a consumer, within the legally required time limits. The User is entitled to the rights recognised by consumer and user protection legislation. RI is not a member of any accredited consumer alternative dispute resolution entity.

RI may amend the Terms for legal, regulatory, technical, security or service-development reasons. Substantial amendments will be notified through a durable medium at least 15 calendar days in advance. The User may cancel their registration before they come into force. Subsequent use of the App or, where applicable, express acceptance will imply acceptance of the new version. Previous versions will be available on request.

14. General provisions

If any provision is void or unenforceable, the remaining provisions shall remain valid and the affected provision shall be replaced by a valid one with equivalent effect. Failure to exercise a right shall not imply a waiver of it.

RI may assign its contractual position to companies in its group or in corporate transactions, guaranteeing the User’s rights and notifying the User in advance. The User may not assign their Beta Account. The Terms and the documents referred to in clause 2.3 constitute the entire agreement on the use of the Beta.

15. Governing law and jurisdiction

The Terms are governed by Spanish law, without prejudice to the mandatory consumer protection rules that may apply according to the User’s habitual residence.

For Users who are consumers, the courts and tribunals of their place of domicile shall have jurisdiction. For all other Users, the parties submit, waiving any other forum and to the extent permitted by law, to the courts and tribunals of Barcelona.
