The crowdfunding platform Urbanitae is preparing to open an equity transaction on the Huelva coast. The project, named Azurea El Rompido, consists of developing 12 detached homes with private plots on consolidated urban land in El Rompido, within the municipality of Cartaya. It is the second phase of the El Rompido project, which the platform published in January 2026. Unlike a loan, in this format the investor takes a stake in the project's capital and the return depends on the outcome of the development; any reference to return is inseparable from the corresponding risk, which is described below.

The call will open on Monday 14 September 2026 at 16:00 (UTC+1), with a fundraising target of €920,000. The project's estimated horizon is 30 to 34 months. The structure grants platform investors a preferred return equivalent to a 13% IRR ranking ahead of the manager — a contractual term of the distribution waterfall set out below, and not a guaranteed return. In line with CNMV criteria, for equity projects the platform does not communicate an estimated return but instead three economic scenarios, which are set out in this article. The published offering does not specify the minimum investment per user, a point the investor should verify on the platform itself and in the key investment information sheet before committing funds.

Asset Description, Planning Progress and Commercial Traction

The scheme comprises 12 detached homes across a buildable area of 2,123 square meters. Each home has a private plot, a parking space and a storage room. The layout follows the topography of the site to orient the homes towards the coast and the river mouth. The communal areas — pool, gym and green spaces — will be joined to those of the first phase so that both schemes share them.

The land sits at the highest point of the "El Rompido Oeste" sector, adjoining consolidated phases of other schemes and the first phase of this same project. It is consolidated urban land, with the plot serviced and developed, pending only the administrative formality of final adoption; the platform identifies that circumstance as reducing planning risk. Its elevated position allows views westward over the Piedras river estuary and the La Antilla coastline, and vehicle access connects to the main roads.

El Rompido is a coastal settlement on the bank of the Piedras river, beside the Marismas wetlands and the Flecha del Rompido, a coastal sand formation. The town combines its original fishing activity with tourism services, including a marina with more than 300 berths and golf courses in the immediate surroundings, and functions as a second-home destination with access to both the river beach and the Atlantic coast by boat.

Marketing of this second phase will begin in the fourth quarter of 2026, led directly by EDISTAA HOGAR, so at the time of the call there are no reservations or sales for these 12 units. The first phase, according to the documentation, already holds its building permit and has pre-sales above the estimated price, and expects to start on site in mid-October. Construction will be carried out by the group's own construction arm and the works will be funded through a developer loan already agreed with a banking institution.

Capital Structure, Distribution Waterfall and Economic Scenarios

The transaction is structured as a capital increase: Urbanitae investors contribute funds to a special purpose vehicle which in turn subscribes a capital increase in the project's development company to acquire the plot and cover the scheme's start-up costs. Total equity amounts to €1,150,000, of which €920,000 comes from platform investors and €230,000 — 20% — from the manager itself, which co-invests alongside them in addition to handling the integrated management of the development.

Profit distribution follows a waterfall ranking ahead for Urbanitae investors. First, the capital contributed by investors is returned (€920,000); next, their preferred return equivalent to a 13% IRR is paid; then the manager's capital (€230,000) and its return equivalent to a 13% IRR; once both thresholds are met, the manager receives 50% of the remaining profit as a success fee (promote); and any further excess is split pro rata to shareholdings, 80% to platform investors and 20% to the manager.

In line with CNMV criteria for equity projects, the platform publishes three scenarios. In the favourable scenario, which reflects the manager's estimates as verified by Urbanitae and cross-checked against the market study, projected revenue is €6,720,000 and total execution costs €6,121,343. The moderate scenario assumes a 10% overrun in construction costs, taking total costs to €6,259,691 — a figure reduced relative to the favourable case because corporate tax and the success-based management fee fall. The unfavourable scenario combines that 10% cost overrun with a 10% reduction in sale prices: revenue would fall to €6,048,000 against costs of €6,075,173, producing a negative result and entailing partial loss of the capital contributed. The return on an equity project is obtained by subtracting estimated costs from projected revenue and dividing the result by total equity; all projections are estimates subject to economic, social or other variations over the life of the project.

The expected calendar places the capital increase and the start of marketing in the fourth quarter of 2026, the start of construction in the second quarter of 2027, its completion in the first quarter of 2029, and the handover of homes, liquidation of the company and distribution of profits in the second quarter of 2029. The platform warns that in any real estate development timescales may move up or down.

The manager of the opportunity is EDISTAA HOGAR, a developer with more than 50 years of activity concentrated in the province of Huelva. Over the past twenty years it has delivered more than 400 homes in Andalusia and the Algarve, and it currently develops detached-home schemes in Cartaya, Aljaraque and El Rompido, where it is executing the first phase of this same project.

As this is an equity transaction, there is no mortgage guarantee or security interest in favour of investors: the return depends on the outcome of the project and the capital may be lost in whole or in part. In compliance with the European crowdfunding framework, it is recalled that non-experienced investors have a four-calendar-day pre-contractual reflection period during which they may revoke their investment offer without justification or penalty. This is a crowdfunding product structured as a participation in capital, and not a deposit or a guaranteed savings product. Real estate investments carry risks of illiquidity and of total or partial loss of principal; this vehicle is not supervised by the CNMV or the Bank of Spain, and lacks the coverage of the deposit guarantee scheme provided for in Directive 2014/49/EU and of the investor compensation scheme provided for in Directive 97/9/EC. Investors may not recover the capital contributed.
